Terms of Use
Please read these Terms of Use carefully before accessing or using Suite CodeeHut, a service operated by Codeehut ("we", "us", or "our"). By creating an account or using any part of the platform you agree to be bound by these Terms. If you do not agree, do not use the service.
1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you (the "User") and Codeehut regarding your use of Suite CodeeHut and all associated features, APIs, and services (collectively, the "Service"). By registering for an account, clicking "I agree", or otherwise using the Service, you confirm that you are at least 18 years old, have the legal capacity to enter into contracts, and accept these Terms in their entirety.
If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and "you" refers to that entity.
2. Definitions
- "Account" means the registered account through which you access the Service.
- "Your Content" means any data, files, text, images, logos, URLs, or other material you upload to, create with, or link from the Service.
- "Dynamic QR Code" means a QR code generated through the Service whose destination can be edited after creation.
- "Subscription" means a paid plan that grants access to the Service for a defined billing period.
- "Authorised Users" means individuals you permit to access the Service under your Account, such as employees or agents.
3. Description of Service
Suite CodeeHut is a cloud-based platform that allows users to create, manage, customise, and track QR codes and other digital marketing assets. Features include, but are not limited to:
- Dynamic QR Code generation with editable destination URLs.
- Custom branding (logo, colours, corner styles).
- Real-time scan analytics (counts, devices, geographic data).
- Support for multiple content types: URLs, digital menus, vCards, Wi-Fi credentials, and more.
- Multi-application and multi-property management for businesses.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable prior notice where possible.
4. Eligibility & Accounts
To access the Service you must register for an account using a valid email address and a secure password. You are responsible for:
- Maintaining the confidentiality of your login credentials.
- All activity that occurs under your account, including the acts and omissions of your Authorised Users.
- Notifying us immediately at [email protected] if you suspect any unauthorised use of your account.
You remain liable for your Authorised Users' compliance with these Terms. We will not be liable for any loss or damage arising from your failure to keep your credentials secure. You may not share your account with third parties or create accounts by automated means.
5. Right to Use & Restrictions
Subject to these Terms and payment of applicable fees, Codeehut grants you a non-exclusive, non-transferable, revocable, and limited right to access and use the Service for your internal business or personal purposes. You may not, and may not permit any third party to:
- Copy, modify, translate, or create derivative works of the Service or its software.
- Reverse-engineer, decompile, or otherwise attempt to derive the source code of the Service, except to the extent such restriction is prohibited by law.
- Rent, lease, sell, sublicense, or otherwise make the Service available to third parties except as expressly permitted.
- Remove or obscure any proprietary notices, or use our trademarks without prior written consent.
6. Acceptable Use
You agree not to use the Service to:
- Distribute malware, phishing pages, spam, or any other malicious content.
- Violate any applicable local, national, or international law or regulation.
- Infringe the intellectual property rights of any third party.
- Collect, process, or store personal data without the appropriate legal basis.
- Circumvent, disable, or otherwise interfere with security-related features of the Service.
- Use automated tools to scrape, crawl, or extract data from the platform without our express written permission.
- Resell or sub-license the Service without prior written consent from Codeehut.
We reserve the right to suspend or terminate any account that we reasonably believe is in violation of these rules, without prior notice.
7. QR Codes & Your Content
You are solely responsible for the destinations, content, and information encoded in or linked from any QR code you create on the platform. By publishing a QR code you represent and warrant that the linked content:
- Does not violate any applicable law or these Terms.
- Does not infringe third-party intellectual property rights.
- Is not deceptive, misleading, defamatory, obscene, or otherwise harmful.
We may at our sole discretion disable any QR code or remove any content that we determine, or are notified, violates these Terms or applicable law.
8. Subscription, Fees & Renewal
Certain features of Suite CodeeHut are available only under a paid subscription plan. By subscribing you agree to:
- Pay all fees associated with your chosen plan in advance on the applicable billing cycle (monthly or annual).
- Provide accurate and up-to-date billing information.
- Authorise us (or our payment processor, Stripe) to charge the payment method on file on each renewal date.
All fees are exclusive of taxes unless stated otherwise. Subscriptions renew automatically at the end of each billing period at the then-current price, unless you cancel before the renewal date through your account settings. You may cancel at any time; cancellation takes effect at the end of the current paid period.
Subscriptions are non-refundable except as required by applicable law or as expressly stated in our Refund Policy. We reserve the right to adjust pricing for valid reasons (such as changes in operating costs, inflation, or tax changes), with at least 30 days' written notice. If you do not accept the new price, you may terminate your subscription free of charge before it takes effect, with termination effective at the end of the current paid period. Continued use after the new pricing takes effect constitutes acceptance of it. If payment fails, we may suspend access to paid features after reasonable notice. Accounts inactive for more than 90 days following subscription expiry may be permanently deleted along with all associated data.
9. Free Trial
We may offer a free trial period for new accounts. Unless you cancel before the trial ends, your subscription will automatically convert to a paid plan and the payment method on file will be charged at the then-current rate. We reserve the right to modify or discontinue free trials at any time and to limit eligibility to prevent abuse.
10. Your Data & Ownership
As between you and Codeehut, all right, title, and interest in and to Your Content and any data you submit to the Service remain vested in you. You grant Codeehut a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display Your Content solely to the extent necessary to provide and support the Service.
We may generate aggregated and de-identified data derived from use of the Service (with all persistent identifiers removed) and use it to operate, analyse, and improve the Service. Such anonymised data does not identify you or any individual and is owned by Codeehut. Our processing of personal data is described in our Privacy Policy.
11. Confidentiality
Each party may have access to information of the other that is marked confidential or that a reasonable person would understand to be confidential ("Confidential Information"). The receiving party agrees to use Confidential Information only to perform under these Terms and to protect it with at least the same degree of care it uses for its own confidential information. This obligation does not apply to information that is or becomes public through no fault of the receiving party, was lawfully known before disclosure, or is required to be disclosed by law. A breach of this section may cause irreparable harm for which monetary damages are inadequate, and the disclosing party may seek injunctive relief.
12. Third-Party Services
The Service may integrate with or link to third-party websites, applications, or services (for example payment processors, analytics tools, or destinations linked from your QR codes). We do not control and are not responsible for the content, policies, or practices of any third party. Your use of third-party services is governed by their own terms, and any dealings with them are solely between you and the relevant provider.
13. Feedback
If you provide us with suggestions, ideas, or other feedback about the Service, you grant Codeehut a perpetual, irrevocable, worldwide, royalty-free licence to use and incorporate that feedback into the Service without restriction or obligation to you.
14. Intellectual Property
All software, design, text, graphics, logos, and other content forming the Service are the exclusive property of Codeehut or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, trade names, or service marks.
You retain full ownership of any content you create or upload to the platform. By uploading content (such as logos or images) you grant Codeehut a limited, non-exclusive, royalty-free licence to host, display, and process that content solely for the purpose of delivering the Service to you.
15. Modifications to the Service
We continuously improve the Service and may add, change, or remove features, re-engineer the underlying infrastructure, or change hosting arrangements, provided that we do not materially degrade the core functionality of any paid plan during your subscription term. Updates and new features become part of the Service and are subject to these Terms upon release.
16. Suspension
We may suspend your access to all or part of the Service, with or without notice, if: (a) fees are overdue; (b) we reasonably believe the Service is being used in violation of these Terms or applicable law; (c) your use poses a security risk to the Service or other users; or (d) suspension is required for scheduled or emergency maintenance. We will restore access promptly once the cause of suspension is resolved.
17. Termination
You may terminate your account at any time from your account settings or by contacting us at [email protected]. Either party may terminate for the other's material breach that remains uncured 20 days after written notice. Upon termination:
- Your access to the Service will cease immediately.
- All Dynamic QR Codes associated with your account will stop resolving.
- We may delete your data after a reasonable retention period in accordance with our Privacy Policy.
We may terminate or suspend your account immediately and without prior notice if you breach these Terms, fail to pay fees due, or engage in conduct that we determine to be harmful to other users or to the Service.
18. Warranties & Disclaimer
Each party warrants that it has the authority to enter into these Terms. Except for that express warranty, the Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Codeehut excludes all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and does not warrant that the Service will be uninterrupted, error-free, or secure.
19. Indemnification
You agree to indemnify, defend, and hold harmless Codeehut and its affiliates, officers, and employees from any third-party claims, damages, liabilities, and reasonable legal costs arising out of: (a) Your Content; (b) your use of the Service in violation of these Terms or applicable law; or (c) your infringement of any third-party right. Codeehut will indemnify you against third-party claims that the Service, as provided by us and used in accordance with these Terms, infringes that third party's intellectual property rights, excluding claims arising from Your Content, your modifications, or your unauthorised use.
20. Limitation of Liability
To the maximum extent permitted by law, in no event shall Codeehut be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you for any claim arising under these Terms shall not exceed the amounts paid by you to Codeehut in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law, including liability for fraud, wilful misconduct, or death or personal injury caused by negligence.
21. Force Majeure
Neither party will be liable for any failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, labour disputes, failures of telecommunications or internet providers, or government action. If a force majeure event continues for more than 30 days, either party may terminate the affected subscription on written notice.
22. Assignment
You may not assign or transfer these Terms or any rights under them without our prior written consent. Codeehut may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of all or substantially all of its assets. Subject to the foregoing, these Terms bind and benefit the parties and their permitted successors and assigns.
23. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We encourage you to review it to understand how we collect, use, and protect your data. By using the Service you consent to the data practices described in the Privacy Policy.
24. Changes to Terms
We may update these Terms from time to time to reflect changes to our practices, features, or applicable law. When we do, we will update the "Last updated" date at the top of this page and, for material changes, notify you by email or via an in-app notification at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes your acceptance of the revised Terms.
25. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of Greece, without regard to its conflict-of-law provisions. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Piraeus, Greece, unless mandatory consumer protection laws in your country of residence require otherwise.
26. Miscellaneous
These Terms, together with the Privacy Policy and any order or plan details, constitute the entire agreement between you and Codeehut regarding the Service and supersede all prior agreements on the subject. If any provision is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver of it. Notices to you may be given by email or through the Service; notices to us should be sent to the contact details below. Sections that by their nature should survive termination (including ownership, confidentiality, disclaimers, limitation of liability, and indemnification) will survive.
